An inflection point in American energy and manufacturing

Energy demand is growing for the first time in 20 years, driven by surging manufacturing, transportation, electrification, and data centers. Simultaneously, hundreds of billions of dollars are being invested in domestic supply chains for critical minerals and components. Developers and manufacturers will require trillions of dollars in capital to meet growing needs.

The Opportunity

Role Overview

The Managing Director, Investments serves as the embedded legal authority for all tax equity and hybrid transactions across Crux’s platform. Reporting to the Head of Investments, this role is responsible for ensuring every investment structure, document, and negotiation reflect Crux’s commercial discipline and legal integrity.

The Managing Director oversees transaction documentation and legal strategy for upper- and lower-tier partnerships, maintaining consistent standards across a growing portfolio of tax equity and hybrid investments. The role also supports portfolio management oversight, post-closing sponsor engagement, and investor reporting.

Ideal candidates will bring a strong legal foundation—rooted in complex energy finance, tax equity execution, and structured transactions—and the ability to translate legal precision into sound investment judgment, risk management, and cross-functional alignment.

Key Responsibilities

Legal Transaction Oversight

  • Serve as the senior legal lead for all tax equity, hybrid, and structured product investments across Crux-managed funds, ensuring structures and documentation comply with applicable legal, tax, and regulatory standards.

  • Oversee the drafting, review, and negotiation of term sheets and definitive agreements (LLCAs, MIPAs, ECCAs, Interparty Agreements), guiding Investment Managers and external counsel to maintain alignment across commercial, legal, and tax considerations.

  • Provide legal counsel and interpretive guidance on transaction structure, risk allocation, and regulatory implications, supporting the Investments team in advancing deals to closing readiness under the direction of the Managing Director, Investments.

  • Lead or co-lead legal negotiations with counterparties, sponsors, and investors to ensure consistent application of Crux’s negotiated positions and documentation standards.

  • Support the development and implementation of compliant new transaction structures by monitoring and interpreting evolving tax, securities, and broker-dealer requirements.

Investment Governance

  • Establish and maintain legal governance standards for diligence, funding, and execution processes within Investments, ensuring adherence to institutional policies and broker-dealer requirements, with final approval by the Head of Investments and General Counsel.

  • Provide legal oversight of post-closing matters, including compliance obligations, sponsor requests, and investor reporting, ensuring portfolio management activities conform to governing documents and regulatory requirements.

  • Review and approve amendments, waivers, and other material sponsor or investor requests, verifying consistency with partnership agreements, tax assumptions, and internal authority frameworks.

  • Oversee documentation control and retention, ensuring executed agreements and supporting materials comply with broker-dealer and regulatory standards.

  • Under the direction of the Head of Investments and the General Counsel, manage relationships with external counsel, ensuring timely, consistent, and high-quality execution that aligns with Crux’s legal and compliance frameworks.

Cross-Functional Collaboration

  • Integrate legal, regulatory, and structural considerations across the platform—working with Industry Coverage, Tax Investor Coverage, DCM, Finance, and Legal—to ensure transactions are executed in accordance with Crux’s commercial objectives and compliance framework.

  • Collaborate with Investments, Legal, and Operations to maintain standardized templates, playbooks, and approval workflows that reflect current legal requirements and institutional best practices.

  • Work closely with the General Counsel and Head of Investments to align governance frameworks, broker-dealer standards, and investment documentation controls with evolving regulatory expectations.

Leadership & Learning Culture

  • Provide legal and structural mentorship to Investment Managers and Principals, building team capability in negotiation, transaction execution, and legal risk assessment.

  • Serve as a trusted advisor and internal thought leader, reinforcing consistency in legal reasoning, documentation standards, and investment decision-making.

  • Represent Crux in sponsor, investor, and industry dialogues, strengthening the firm’s reputation for legal rigor, commercial sophistication, and institutional discipline.

Qualifications

  • JD with 12–15+ years of experience in renewable energy finance, project finance, or structured investments, including significant experience at a top-tier law firm.

  • Deep expertise in partnership-flip and hybrid tax equity structures for solar, wind, and storage.

  • Strong understanding of tax, legal, and accounting considerations relevant to institutional tax equity investors.

  • Demonstrated ability to make high-impact investment and governance decisions across complex portfolios.

  • Proven experience managing cross-functional teams and coordinating across Legal, Operations, and Risk.

  • Familiarity with federal energy tax incentives (45, 48, 45Y, 48E, 6418).

  • Working knowledge or willingness to develop solid understanding of the regulatory frameworks governing U.S. Broker-Dealers and Registered Investment Advisers, SEC, FINRA, and state regulatory requirements.

  • FINRA SIE, Series 79, and 63 required or willingness to obtain under Crux’s broker-dealer sponsorship.

  • Excellent leadership, judgment, and communication skills.

  • Healthcare: We cover 100% of premiums for employees with a variety of plans on Aetna (nationwide) and Kaiser (WA and California) and subsidize 70% for dependents.

  • Dental & vision: We cover 100% of premiums for employees and 50% for dependents (each), if relevant.

  • Holidays: 10 company holidays per year

  • Paid time off: 20 days per year

  • 401k: We support a 401k account but don't have a matching program set up at this time (typical for an early-stage startup).

  • Regular all-team onsites 3 times/year.

  • Compensation: $500,000 - $600,000+ total cash comp, comprised of base and bonus. Equity in the form of stock options. We are open on compensation and bonus buyouts for the right candidate.
