We’re scaling quickly and are ready to hire a Company Secretary and Legal Compliance Manager to help us grow.
Role Purpose:
The Company Secretary (“CS”) will ensure the Company’s full compliance with the Companies Act, 2013 (India) and related statutory requirements, while also leading group-wide legal, compliance, and risk coordination across our US, Africa, and LatAm businesses.
This role is both statutory (for India) and strategic (for the group), ensuring robust governance, legal risk management, and efficient compliance processes to support the Company’s growth and investor confidence.

Key Responsibilities:

1. Statutory & Company Secretarial Duties (India-specific)
  • Ensure compliance with the Companies Act, 2013, SEBI regulations (if applicable), FEMA, and other relevant Indian laws.
  • Maintain statutory registers, records, and minutes of Board and General Meetings.
  • Prepare and file required returns, forms, and resolutions with the Registrar of Companies(ROC) within statutory timelines.
  • Manage share allotments, transfers, issuance, and maintenance of share certificates.
  • Advise the Board on corporate governance, director responsibilities, and regulatory obligations.
  • Oversee preparation and submission of annual returns, financial statements, and director KYC compliance.
  • Act as the primary point of contact with regulators (MCA, RBI, etc.) and external legal counsel in India.

2. Compliance Management
  • Develop, maintain, and monitor compliance calendars across jurisdictions.
  • Ensure timely submission of regulatory filings, returns, KYC, and due diligence documentation.
  • Oversee implementation and periodic review of internal policies (AML, data protection, HR, finance, etc.).
  • Coordinate with Finance, HR, and Operations to ensure segregation of duties and adherence to compliance frameworks.
  • Monitor and report on compliance risks and recommend corrective actions where necessary.
3. Commercial Legal (Contracts)
  • Oversight of contract review processes and collaboration with external legal advisors to ensure accurate interpretation, compliance, and protection of the company’s commercial intentions and interests.
  • Draft, review, and negotiate commercial agreements with clients, vendors, and partners.
  • Maintain and manage a centralized legal document library and contract management system.
  • Track contract lifecycle management, ensuring agreements are reviewed, approved, signed, filed, and renewed as required.
  • Support operational teams to ensure contractual obligations and deliverables are clearly understood and met.

4. Transactions Legal (Debt & Equity)
  • Provide legal support for fundraising activities, including equity investments and debt financing transactions.
  • Coordinate due diligence processes and prepare or review transaction documentation such as shareholder agreements, convertible notes, and loan agreements.
  • Engage with external counsel on deal structuring and ensure compliance with relevant legal and regulatory requirements.
  • Support investor onboarding and information requests to maintain transparency and confidence.
5. Risk Coordination
  • Co-ordinate, improve and maintain a group-wide risk register, coordinating inputs across the business.
  • Ensure policies and procedures (compliance, HR, finance, data protection, AML, etc.) are regularly reviewed and updated.
  • Provide guidance on risk management, including contractual risk, compliance risk, and reputational risk.

6. Governance & Advisory
  • Serve as an advisor to the Board on legal and compliance risks.
  • Assist with global entity management (formation, governance, filings) across geographies.
  • Coordinate external legal counsel and ensure cost-efficient use of advisors.
  • Promote best practices in corporate governance across the group.
Qualifications & Skills:
  • Must be a qualified Company Secretary under the Institute of Company Secretaries of India (ICSI) and hold a LLB.
  • 5+ years’ experience in corporate secretarial, legal, or compliance roles (experience in cross- border or group structures preferred).
  • Strong understanding of Indian company law and experience with regulatory filings.
  • Familiarity with international compliance, governance, and risk management standards.
  • Excellent organizational skills, attention to detail, and ability to manage multiple jurisdictions.
  • Strong interpersonal and communication skills to work across functions and geographies.
  • Ability to operate independently, maintain confidentiality, and advise senior leadership.
