About the Role
Job Overview:
We are seeking a skilled and strategic Transactional Attorney to join our new legal team as the first team member. The attorney will report to our General Counsel and Vice President of Policy.
In this role, you will provide invaluable support on a variety of fronts, with a focus on scaling our transactional capabilities. Work will span from executing (and creating systems to scale our) everyday NDA and procurement contracts, to crafting highly complex and FOAK commercial agreements, joint ventures, government transactions, technology partnerships, and key business agreements with Pacific Fusion’s first customers. As part of this, you will also establish key processes, training, and tools. You’ll also help manage key governance activities, including board meetings and assorted people and workplace matters.
To accomplish this mission, you’ll work closely with our engineering, finance, regulatory, and executive teams. Ideal candidates will have experience in hard tech, energy development, manufacturing, infrastructure, or real estate, and a passion for contributing to a transformative and abundant clean energy future.
Responsibilities:
Help develop our contracting strategy as we scale our procurement and complex transactional work.
Quarterback a large portion of day-to-day legal activities, including executing on various contract requests.
Create a set of developed legal playbooks around our core agreements, such as NDAs, MSAs, CSAs, and IP transactions.
Create processes and tools to speed up our contract workflows, working closely with procurement leads.
Oversee external legal resources and manage work/spend.
Create consistent organization around existing executed contracts, including upgrading our CLM system.
Create tools to communicate progress on transactional matters across leadership, and deliver process improvements with the larger organization.
Draft Board resolutions and lead organizational efforts around Board meetings.
Step in to support efforts around corporate governance and fundraising, and certain employee matters.
Grow quickly from here to lead key aspects of our Legal organization
Qualifications:
Minimum of 6 years of legal experience (ideally a mix of law firm and in-house)
Substantial experience leading complex transactions in the deep tech, hard tech, energy development, manufacturing, or infrastructure sectors
Passion and interest in our company's mission
Preferred but not required:
Experience with siting and development
Experience with NDAs and procurement contracts
Experience working with procurements on the developer side
Experience in IP matters
Experience working in a startup
Experience working in industries with complex regulatory environments
Experience working closely with PhD scientists and R&D technology organizations
