Role Overview
We are seeking a sharp, business-minded Legal Counsel to join our growing legal team at a fast-paced, high-growth SaaS company. As the second legal hire, you will work directly with our General Counsel on a wide range of legal matters, helping to build scalable legal infrastructure and support key business functions. This is a unique opportunity to shape the legal function from the ground up, contribute to strategic initiatives, and have a meaningful impact on the Company's continued growth. The Counsel candidate will be an intelligent, ambitious, self-starter with a positive attitude and a team-oriented mentality. The ideal candidate is a true generalist with significant experience negotiating and drafting SaaS agreements, and is eager to take on both strategic and hands-on responsibilities as part of a growing legal function.
Responsibilities
- Review, draft, and negotiate a wide range of commercial contracts, with a primary focus on SaaS agreements.
- Support cross-functional stakeholders by managing the full contract lifecycle—from initial review to final execution—while balancing legal risk and business priorities.
- Draft and negotiate additional agreements, including vendor, consultant, service level/support, marketing, and NDAs.
- Collaborate with the General Counsel to enhance internal legal processes and scalable workflows that support a fast-growing organization.
- Provide practical, business-oriented legal advice to internal teams on a range of issues, including commercial, compliance, and operational matters.
- Assist with legal support for international operations, particularly European entities, including regulatory and contract matters.
- Play a key role in supporting the legal aspects of M&A activity, including diligence, contract review, and post-acquisition integration.
- Oversee and manage global insurance needs, including coordination with brokers and internal teams to maintain adequate coverage.
- Perform other job-related duties as required.
Requirements
- You have practiced law for 5-8 years and are currently a member of the bar (in good standing) in a U.S. jurisdiction, and have in-house counsel experience.
- You have substantial experience drafting, negotiating, and managing SaaS and other technology-related agreements.
- You have strong business judgment and the ability to balance legal risk with practical business needs.
- You have excellent communication skills—written and verbal—and you’re comfortable working with people at all levels of the business. You know how to explain legal concepts in a clear, approachable way that resonates with non-lawyers.
- You are comfortable operating in a fast-paced, high-growth environment with shifting priorities and evolving processes.
- You are a self-starter with strong organizational skills, attention to detail, and the ability to manage multiple matters simultaneously.
- You can be flexible, and you thrive in a fast-paced environment.
- You are a team player.
- It is a plus if you have any of the following experience:
- Working with international legal issues and cross-border teams.
- Exposure to M&A transactions or post-acquisition integration.
- Familiarity with insurance management or corporate compliance.
- Familiarity with AI technologies or legal issues related to AI.
