Position Summary

Reporting to the COO, this position supports both Corporate and departmental cross-business line needs, providing legal advice and support on various legal issues with an emphasis on contract negotiation, risk mitigation, commercial support, regulatory matters and corporate issues.

Key Responsibilities

  • Structure, draft and negotiate, in coordination with executive team, sales leads and departmental leadership, commercial contracts, proposals, standard terms and conditions and complex, time-sensitive commercial transactions.
  • Support financing transactions, M&A, strategic partnerships and other large scale transactions, including drafting and negotiating transaction documents and deliverables. Lead, coordinate and conduct due diligence.
  • Advise on legal requirements and, in coordination with corporate leadership, assist the organization with compliance with statutes, regulations and industry rules and corresponding internal policies, as applicable.
  • Support maintenance of corporate structures, formation and governance of corporate entities.
  • Counsel the company’s business units and groups with particular focus on Staff Services on legal issues and risks.
  • Advise internal stakeholders on a wide range of legal issues, such as M&A transactional matters, commercial contracts and transactions, finance, regulatory compliance and dispute mitigation and resolution issues.
  • Source and manage external legal service providers.
  • Willingness to travel on occasion.

Experience

  • Ability to work independently with limited supervision.
  • Ability to work in a dynamic, fast paced environment and to adapt quickly to changing priorities.
  • Demonstrated ability to provide strategic and commercial legal advice and recommendations and to exercise sound business judgment.
  • Familiarity with business models, contracts and commercial structures in the energy or construction sectors desired.
  • Strong communication skills both written and oral; ability to present clear and practical legal positions; ability to influence others and to gain support for his/her ideas.
  • Excellent interpersonal skills; builds strong working relationships across the organization.
  • Strong analytical and problem solving skills combined with attention to details and thoroughness.
  • Excellent organizational skills, effectively managing priorities while meeting timelines.

What You've Accomplished

  • Juris Doctorate from an accredited law school.
  • Admission to bar in California or other Western states.
  • ~5-10 years+ of legal experience practicing in a broad range of activities either in house or with (a) law firm(s).

Our salary ranges are determined by role, level, and location. Within each posted range individual pay is determined (and may be greater or higher) dependent on work location and additional factors, including job-related skills, experience, and relevant education or training.
